This article refers to the provisions in Vietnamese Enterprise Law 2020 and Vietnamese Civil code 2015 on protecting the legitimate rights and interests of a bona fide third party in transactions with the representative of the enterprise when the scope of authority of the representative is limited in the Charter. This article analyzes the approach to the concept of transactions beyond the representative authority, without representative authority and identifies general principles to bind the responsibility of enterprises to third parties in such transactions. The limitations of the law are clarified such as: not yet establish the limit on the representative rights of the representative of the enterprise, the handling direction for transactions affected by the assignment of authority among the co-representatives within the enterprises. Accordingly, this paper is aimed to propose the amending and supplementing a number of provisions of the enterprise law regarding these above-mentioned issues
